These Terms and Conditions govern your relationship with ESG Intelligence Private Limited (CIN: U74999DL2016PTC309766) (“ESG“), your use of the ESG website https://esg-intelligence.com (the “Website“) or any of its subdomains and the Products provided by ESG.

YOU MUST AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT TO BECOME A USER (THE “USER”), WHICH IN TURN PERMITS YOU TO HAVE ACCESS TO REPORTS, CASE STUDIES, COMPANY PROFILES, INTELLIGENCE DASHBOARDS, RISK ASSESSMENT REPORTS, INTELLIGENCE NEWSLETTERS, JOBS, EXPERT INTERVIEWS OR ANY OTHER RESEARCH OR EDUCATIONAL DELIVERABLE (THE “PRODUCTS”) of ESG ON THE WEBSITE. BY COMPLETING THE REGISTRATION PROCESS, YOU AGREE TO THE TERMS OF THIS AGREEMENT, JUST AS IF YOU HAD SIGNED THIS AGREEMENT (“Agreement”). IF YOU DO NOT WISH TO BE BOUND BY THIS AGREEMENT, PLEASE DO NOT COMPLETE THE REGISTRATION PROCESS.

Please read our Privacy Policy, Hyperlink Policy, Copyright Policy, Disclaimers and any other Policies/Rules listed on the Website (“Website Policies”) for an explanation of ESG’s practices. By using the Website, registering your interest or contacting ESG, you consent to ESG handling and processing your information as described in the Website Policies.

Changed Terms: ESG may change or discontinue any aspect of its website at any time, including, its content or features. ESG reserves the right to change the terms and conditions applicable to use of the Products. Such changes shall be effective immediately upon notice, which shall be placed on the website. Use of the Products after notice shall be deemed to be acceptance by User of such changes.

Term: ESG may terminate User’s access at any time for any reason. The provisions regarding Website Policies and Indemnification, and Third Party Rights (provided herein below) shall survive.

Intellectual Property: All materials including, but not limited to any Product, and all intellectual property, copyrights, trademarks, patents, trade secrets, any other proprietary rights inherent therein and appurtenant thereto, used by ESG, shall remain the sole and exclusive property of ESG.  Nothing herein is intended to, or shall, convey any right or ownership interest to User or any other person or entity in or to such Products.  Upon payment of the fees for the Product, ESG grants User a limited license to use the Products solely for its own internal information or education purposes (the “License”). Reproduction of the Products in any form or by any means is forbidden without ESG’s written permission, including but not limited to:

• information storage and retrieval systems;
• recordings and re-transmittals over any network (including any local area network);
• use in any timesharing, service bureau, bulletin board or similar arrangement or public display;
• posting any Product to any other online service (including bulletin boards or the Internet); or
• sublicensing, leasing, selling, offering for sale or assigning the Product.

Limitation of Liability: In no event will ESG be liable for: a) damages of any kind, including without limitation, direct, incidental or consequential damages (including, but not limited to, damages for lost profits, business interruption and loss of programs or information) arising out of the use of or inability to use ESG’s website or the Products, or any information provided on the website, or in the Products; or b) any claim attributable to errors, omissions or other inaccuracies in the Product or interpretations thereof.

The aggregate liability of ESG under this Agreement shall be limited to the Agreement Value.

Indemnification: User agrees to indemnify, defend and hold harmless ESG, its affiliates, licensors, and their respective officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, arising out of the use of the Products by User or User’s account (as the case may be) and/or breach of terms of use of the Website.

Third Party Rights: The provisions regarding Disclaimer of Warranty, Limitation of Liability and Indemnification are for the benefit of ESG, and its licensors, employees and agents. Each shall have the right to assert and enforce those provisions against a User.

General Provisions: Any provision in any memorandum received by ESG in connection with the Product which is inconsistent with, or adds to, the provisions of this Agreement is void. Neither the parties’ course of conduct or trade practice will modify the terms of this Agreement. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, all other terms and conditions shall remain in full force and effect.

Confidentiality: The User agrees that it will not use the confidential information (as may be communicated) of the disclosing party in any way, for its own account or the account of any third party, except for the purpose of this Agreement, nor will the User disclose the confidential information of ESG to any third party except as required by law.  The User will take reasonable precautions to protect the confidentiality of such confidential information.

Governing Law & Dispute Resolution: The Contract shall be governed by the law(s) of Republic of India and the language of the Contract shall be English Language. Any dispute arising out of this Contract, which cannot be amicably settled between the parties, shall be referred to Courts of Delhi only.

Non-Exclusivity: – The User agrees and acknowledges that the Products are being provided on non-exclusive basis. Nothing prohibits ESG from providing similar Products to any third party.

Assignment: ESG may assign this Agreement or Subcontract any portion of its rights and obligations without the User’s prior written consent.
